Welcome to Teamital.

These Terms & Conditions ("Terms") govern your access to and use of the Teamital website, web application, mobile application and all related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

Acceptance of These Terms

By registering an account or using the Services, you confirm that:

  • You have authority to accept these Terms on behalf of your organisation.
  • You will comply with all applicable laws and regulations.
  • The information you provide is accurate and up to date.

If you are using Teamital on behalf of a company, you represent that you have authority to bind that organisation to these Terms.

About Teamital

Teamital is a workforce management platform that enables organisations to manage employees, attendance, scheduling and operational activities from a single platform.

Depending on the subscription and configuration, the Services may include:

  • Attendance management
  • Face recognition attendance
  • PIN attendance
  • Fingerprint attendance
  • GPS tracking
  • Geofence clock-in
  • Route history
  • Shift scheduling
  • Leave management
  • Payroll-ready reports
  • Task management
  • Project management
  • Employee announcements
  • Notifications
  • Document and file uploads
  • Reporting dashboards
  • Administrative controls

New features may be introduced from time to time.

Business Use Only

Teamital is designed exclusively for businesses, employers, organisations and authorised personnel.

The platform is not intended for personal consumer use or for individuals under the age of 18.

Customer Responsibilities

Customers are responsible for:

  • Configuring the platform appropriately.
  • Maintaining accurate employee records.
  • Ensuring only authorised users have access.
  • Complying with employment laws.
  • Complying with privacy and data protection laws.
  • Informing employees about workplace monitoring.
  • Obtaining any legally required consents.
  • Managing user permissions.
  • Maintaining internal workplace policies.

The customer remains responsible for all activity occurring within its account.

Account Registration

To use the Services, customers must create an account.

You agree to:

  • Provide accurate information.
  • Keep your account details current.
  • Protect your password.
  • Keep login credentials confidential.
  • Notify us immediately if you suspect unauthorised access.

We are not responsible for losses resulting from failure to safeguard account credentials.

User Accounts

Account administrators may create and manage user accounts for employees, managers and authorised personnel.

Administrators are responsible for:

  • Assigning permissions.
  • Removing access when employees leave.
  • Resetting passwords where necessary.
  • Managing organisational settings.
  • Monitoring authorised usage.

Teamital may suspend accounts that compromise platform security.

Login Security

The platform currently supports:

  • Email and password authentication.

Users must:

  • Choose strong passwords.
  • Avoid sharing login credentials.
  • Log out from shared devices.
  • Report suspicious activity immediately.

Repeated failed login attempts may result in temporary account restrictions.

Subscription Services

Teamital is offered as a Software-as-a-Service (SaaS) platform.

Customers may subscribe to one or more paid plans depending on organisational requirements.

Subscription plans may vary based on:

  • Number of employees
  • Features enabled
  • Billing cycle
  • Storage
  • Additional modules

Subscription information is provided during the purchase process.

Payments

Payments may be processed through trusted third-party payment providers, including:

  • Stripe
  • Revolut

By purchasing a subscription, you authorise the selected payment provider to process payments on your behalf.

Teamital does not intentionally store complete payment card details on its own servers.

Payment providers maintain their own privacy, security and compliance obligations.

Billing

Subscriptions may be billed:

  • Monthly
  • Annually
  • Or according to another agreed billing cycle.

Invoices may be issued electronically.

Customers are responsible for ensuring payment information remains accurate and current.

Late or failed payments may result in service restrictions or account suspension.

Taxes

Unless otherwise stated, subscription fees are exclusive of applicable taxes.

Customers are responsible for paying VAT, sales tax, GST or similar taxes where applicable under local law.

Free Trials

Teamital may offer trial accounts from time to time.

Trial accounts:

  • May have limited functionality.
  • May expire automatically.
  • May be cancelled at any time.
  • May convert into paid subscriptions where agreed.

We reserve the right to modify or discontinue trial offers without notice.

Acceptable Use

Customers and users must not use Teamital to:

  • Break any law.
  • Violate employment regulations.
  • Infringe intellectual property rights.
  • Upload malicious software.
  • Attempt unauthorised access.
  • Interfere with platform security.
  • Harass employees.
  • Monitor individuals unlawfully.
  • Collect personal data without lawful authority.
  • Circumvent security measures.
  • Reverse engineer the platform.
  • Distribute malware.
  • Spam other users.

Misuse may result in immediate suspension or termination.

Employee Monitoring

Teamital includes features that enable employers to monitor attendance, working hours and work-related activities.

Customers are solely responsible for ensuring that workplace monitoring complies with:

  • EU General Data Protection Regulation (GDPR)
  • Irish Data Protection Act 2018
  • Employment legislation
  • Local workplace privacy laws

Employers should ensure employees receive clear notice regarding:

  • Attendance monitoring
  • GPS tracking
  • Geofencing
  • Route history
  • Face recognition
  • Camera usage
  • Data retention
  • Access to collected information

Teamital provides the technology but does not determine how customers use monitoring features.

GPS Tracking

The platform may support:

  • Live GPS tracking
  • Background location tracking
  • Route history
  • Geofence verification
  • Site visits

Customers are responsible for ensuring GPS tracking is used only for legitimate business purposes.

GPS tracking should be proportionate, transparent and limited to authorised business activities.

Where required by law, employers should conduct a Data Protection Impact Assessment before implementing employee location monitoring.

Biometric Authentication

Teamital may provide biometric attendance features, including face recognition and fingerprint authentication, where enabled by the customer.

Customers are solely responsible for ensuring that biometric authentication is used lawfully and in accordance with applicable privacy, employment and data protection laws.

Where biometric data is processed, customers should:

  • Clearly inform employees before implementation.
  • Explain why biometric authentication is being used.
  • Limit access to authorised personnel.
  • Retain biometric-related information only for as long as necessary.
  • Implement appropriate organisational and technical safeguards.

Teamital does not determine the legal basis for an employer's use of biometric technologies.

Document and File Uploads

The platform allows authorised users to upload files, documents and images.

Examples include:

  • Employment documents
  • Site photographs
  • Employee selfies
  • Work reports
  • Project files
  • Attendance-related documentation

Customers remain responsible for ensuring they have the legal right to upload and store such content.

You must not upload content that:

  • Violates any law.
  • Infringes copyright or intellectual property rights.
  • Contains malware or malicious code.
  • Is defamatory, abusive or unlawful.
  • Contains sensitive personal information without appropriate authority.

Teamital reserves the right to remove content that violates these Terms or applicable law.

Customer Data

Customers retain ownership of the information they upload to the platform.

Teamital does not claim ownership of customer data.

By using the Services, customers grant Teamital a limited licence to process, store, transmit and display customer data solely for the purpose of providing the Services and fulfilling contractual obligations.

Data Protection and Privacy

The collection and processing of personal data is governed by our Privacy Policy.

Teamital processes personal data in accordance with:

  • EU General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679)
  • Irish Data Protection Act 2018

Where Teamital acts as a Data Processor, customers remain responsible for determining the lawful basis for processing employee information.

Customers are responsible for providing privacy notices and complying with applicable employment and privacy legislation.

Intellectual Property

All intellectual property rights relating to Teamital remain the exclusive property of Teamital or its licensors.

This includes, but is not limited to:

  • Software
  • Source code
  • Design
  • User interface
  • Logos
  • Branding
  • Databases
  • Documentation
  • Reports
  • Graphics
  • Icons
  • Platform architecture

No ownership rights are transferred to customers through use of the Services.

Licence to Use the Platform

Subject to these Terms and payment of applicable subscription fees, Teamital grants customers a limited, non-exclusive, non-transferable and revocable licence to access and use the Services for their internal business operations.

Customers may not:

  • Sell or sublicense the platform.
  • Copy significant portions of the software.
  • Modify the platform.
  • Reverse engineer the software.
  • Create competing products using the platform.
  • Remove copyright or proprietary notices.

Service Availability

We aim to provide reliable and secure access to the platform.

However, uninterrupted availability cannot be guaranteed.

Temporary interruptions may occur due to:

  • Scheduled maintenance.
  • Emergency maintenance.
  • Internet failures.
  • Cloud infrastructure issues.
  • Third-party provider outages.
  • Security incidents.
  • Circumstances beyond our reasonable control.

Teamital will make reasonable efforts to minimise service disruption.

Maintenance and Updates

We may:

  • Install security updates.
  • Release new features.
  • Improve existing functionality.
  • Modify the user interface.
  • Upgrade infrastructure.
  • Patch software vulnerabilities.

Updates may occur without prior notice where necessary to maintain platform security or stability.

Third-Party Services

Teamital integrates with third-party providers, including:

  • Amazon Web Services (AWS)
  • Supabase
  • Cloudflare
  • Google Analytics
  • Firebase
  • Firebase Crashlytics
  • Google Maps
  • Stripe
  • Revolut
  • Resend

These services operate under their own terms and privacy policies.

Teamital is not responsible for the independent operation of third-party services.

Suspension of Services

Teamital may temporarily suspend accounts where necessary to:

  • Protect platform security.
  • Investigate suspected misuse.
  • Prevent fraudulent activity.
  • Comply with legal obligations.
  • Prevent unauthorised access.
  • Perform emergency maintenance.

Where reasonably practicable, customers will be informed before planned suspensions.

Termination

Customers may terminate their subscription in accordance with their applicable billing terms.

Teamital may suspend or terminate accounts where:

  • These Terms are materially breached.
  • Subscription fees remain unpaid.
  • The platform is used unlawfully.
  • Fraudulent activity is detected.
  • Security risks arise.
  • Continued access could expose Teamital or other customers to harm.

Termination does not remove obligations accrued before termination.

Effect of Termination

Upon termination:

  • Access to the platform may be disabled.
  • Customer accounts may be deactivated.
  • Customer data may be retained for a limited period in accordance with applicable law, contractual obligations, backup procedures and our Privacy Policy.
  • Customers remain responsible for outstanding fees.

Customers are encouraged to export their data before termination.

Disclaimers

Teamital is provided on an "as available" and "as is" basis.

To the maximum extent permitted by law, Teamital does not guarantee:

  • Continuous availability.
  • Error-free operation.
  • Uninterrupted access.
  • Compatibility with every device.
  • That the Services will meet every customer requirement.

Customers remain responsible for verifying reports, attendance records and operational decisions based on information generated through the platform.

Limitation of Liability

To the fullest extent permitted by law, Teamital shall not be liable for:

  • Indirect losses.
  • Consequential losses.
  • Loss of profits.
  • Loss of revenue.
  • Loss of business opportunity.
  • Loss of goodwill.
  • Loss of data caused by customer actions or third-party failures.
  • Employment decisions made by customers.
  • Improper use of monitoring features.
  • Unauthorised access resulting from customer negligence.

Nothing in these Terms excludes liability where exclusion is prohibited by applicable law.

Indemnification

Customers agree to indemnify and hold harmless Teamital, its officers, employees, contractors and affiliates from claims, liabilities, damages, losses, expenses and legal costs arising from:

  • Breach of these Terms.
  • Unlawful employee monitoring.
  • Violation of applicable privacy laws.
  • Misuse of the platform.
  • Infringement of third-party rights.
  • Customer negligence.

Force Majeure

Teamital shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including:

  • Natural disasters.
  • Fire.
  • Flood.
  • War.
  • Civil unrest.
  • Government action.
  • Internet failures.
  • Cyber attacks.
  • Cloud infrastructure outages.
  • Labour disputes.

Governing Law

These Terms & Conditions are governed by the laws of Ireland.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Irish courts, unless mandatory law provides otherwise.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Security Policy and any applicable Data Processing Agreement, constitute the entire agreement between Teamital and the customer regarding use of the Services.

Changes to These Terms

Teamital may update these Terms from time to time.

Where material changes are made, we will update the "Last Updated" date and may provide additional notice through the website, platform or email.

Continued use of the Services after updated Terms become effective constitutes acceptance of those changes.
